Introduction to VA flex Terms and Conditions

These Terms and Conditions (“Terms”) are in place to protect both of us, please take them seriously. It is recommended that you read these terms carefully, and print and keep a copy of them for your reference.

By using the VA flex website, including VA flex Shop Online, you agree to be bound by the applicable Terms set out below. You also agree to be bound by any applicable laws and regulations and agree that you are responsible for compliance with any applicable local laws. If you do not agree with the Terms you are prohibited from accessing this site.

The materials contained in this website are protected by applicable copyright and trademark law. Permission is granted to temporarily download one (1) copy of any materials on the VA flex website for personal, non-commercial transitory viewing only. This is a grant of license not a transfer of ownership, and under this license you may not:

(i) Modify or copy the materials;

(ii) Use the materials for any commercial purpose or public display (commercial or personal);

(iii) Remove any copyright or other proprietary notations from the materials; or

(iv) Transfer the materials to another person or ‘mirror’ the materials on any other website or server.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by VA flex at any time. Upon termination of this license you must destroy any downloaded materials in your possession, whether in electronic or printed format.

VA flex makes no warranties, express or implied regarding the materials provided on the website and your use of the materials provided. You specifically acknowledge that your use of the website and materials it contains is at your own risk.

Some pages on the VA flex website contain links to third party sites that I have no control over and I am not responsible for the content on those external sites. It is in your best interest to read the policies of those external websites as they may not have the same privacy and security measures in place. Links to external sites are provided for your information and convenience, and are not necessarily recommendations.

Accessibility and Security

I do everything in my power to make the VA flex website available at all times. However, there are circumstances that are out of my control (such as technical or power issues) and I cannot guarantee continued, uninterrupted accessibility to the website.

I also make every effort to ensure the VA flex website is secure but you should be aware there are inherent risks with using the Internet and I cannot guarantee that the use of this website will not result in the transmission of computer viruses.

Unsolicited Marketing

Use of this website and information herein to make telephone calls or send faxes and e-mail to VA flex for advertising and marketing purposes is prohibited.

VA flex Shop Online Terms and Conditions

Making a Contract With VA flex

When you place an order through VA flex Shop Online, you are entering into a legally binding contract to purchase products (services and/or goods). I will send you an e-mail to confirm that I have received your order.

How to Place an Order

1. Choose the products you would like to purchase

2. Select any options you require by clicking the drop down menu under the item

3. Check the price and click the ‘Add to Cart’ button under the item

4. View the products in your cart at the right of screen and click ‘Go to checkout’

5. Check the products and quantities in your cart and choose your country from the drop down menu to calculate shipping (if applicable)

6. Enter your details and click ‘Make Purchase’

7. You will be taken to a secure PayPal page to make your payment before returning to the VA flex website

8. When you have been returned to the VA flex website, your order placement is complete (if you get an error, please try placing your order again)

Printing

Printing is outsourced to high quality, readily-available, digital commercial printers and VA flex assumes no responsibility for the quality of the printing. However, in the unlikely event you are unhappy with the quality of the print job, I will contact the printer and advocate for you. If you would like to use a particular printer, please let me know and I will supply you with a custom quote.

Work Product Ownership and Promotion

Any works, ideas, discoveries, inventions, patents, products, or other information developed in whole or in part by VA flex shall be your exclusive property. Upon request, I will sign all documents necessary to confirm or perfect your exclusive ownership of the Work Product.

I retain the right to use any works developed in whole or in part for promotional purposes, including my portfolio, website and other methods of display unless otherwise requested by you in writing.

Payment Method

Payments through VA flex Shop Online are processed through PayPal. When you choose to checkout you will be redirected to a secure page at the PayPal website to complete your payment. At this page you can either login on the right side of the screen or, if you don’t have a PayPal account, you can pay safely and securely through PayPal with a credit or debit card. Simply enter your credit or debit card information on the left side of the PayPal screen and click ‘Review Order and Continue’ at the bottom of the page.

Shipping

Shipping is calculated on a table rate, based on how much you spend.

Spend $0-49, shipping is $9.95

Spend $50-99, shipping is $7.95

Spend $100-149, shipping is $0.99

Spend $150 or more and shipping is FREE!

Delivery and Taxes

VA flex ships worldwide – if your country is not listed at checkout, please contact me.

Standard delivery of ‘Design Only’ items is ten (10) working days for initial concepts unless I notify you otherwise at the time of placing your order. Standard Delivery for ‘Design + Print’ items is 14-21 days from acceptance of final designs. Delivery may be faster or slower depending on circumstances out of VA flex’s control, such as postal delays, public/bank holidays, unforeseen technical or printing issues, your actions or negligence (delay in delivering content etc). Any delays will entitle me to extend the delivery date by the equivalent time of such a delay, upon notification to you.

Delivery of printed items is through Australia Post. VA flex is not responsible for lost or damaged items – please contact Australia Post for information on making a claim regarding lost or damaged postal items.

VA flex is not currently required to charge GST (Goods & Services Tax) and at such time in the future that it is charged, all prices displayed will be inclusive of GST. Please check this page for updates on when this occurs.

International orders may be subject to customs or other taxes. You are responsible for payment of any customs or other taxes, fees and duties on your order.

Cancellation and Returns

A cancellation fee for completed work/expended hours shall be paid by you. The cancellation fee is 50% of the total for preliminary work and concepts, 75% of the total after preliminary work but before completion, and 100% of the total for completed work regardless of final approval.

Once you place an order with VA flex Shop Online or sign a contract to commence working with me, you enter into a legally binding contract. You are entitled to exchange your order within 48 hours for different services and/or products but you must contact me within 48 hours from the time a successful order has been placed (or a contract has been emailed and/or faxed to me). Please place your order or sign your contract with due care.

Due to the nature of the products sold by VA flex, returns are not offered. It is in your best interest to choose your concept and adjustments carefully – once I begin work on the chosen concept you may make adjustments but can not change it without extra charges.

General VA flex Terms and Conditions

Confidentiality

You will not at any time or in any manner, either directly or indirectly, use for your benefit any information that is proprietary to VA flex. You will protect such information and treat it as strictly confidential. This includes business protocols and processes.

Indemnification

You agree to indemnify and hold VA flex harmless from all claims, losses, expenses and fees including legal fees, costs and judgments that may be asserted against you that result from the acts or omissions of VA flex and, if any, VA flex’s subcontractors and/or agents. You are responsible for final proofing of all projects.

Employment of Others

You may request that I arrange for the services of others or request services that require me to hire others. All costs to VA flex for those services will be paid by you but in no event shall I hire others without your prior written authorisation; electronic mail (e-mail) is considered as written communication.

Applicable Law

These Terms shall be governed by the laws of South Australia, Australia. Any disputes arising will be dealt with by law in this jurisdiction and both parties will be responsible for their respective legal and other associated fees.

Privacy Policy

Your information will always be protected in accordance with the VA flex Privacy Policy. Your information will never be sold, shared or rented to any third party without your express prior written consent.

Changes to These Terms

VA flex reserves the right to make changes to these Terms at any time and a notification of changes will be placed on the VA flex Blog in the ‘News’ category.

These Terms were last changed on 12 July 2010.

These Terms apply to your order. VA flex may change its Terms at any time, so please do not assume that the same Terms will apply to future orders.
